INNOVATION CHALLENGE 2018 (“CHALLENGE”)

TERMS AND CONDITIONS

This Challenge, conducted and organised by Redefine Properties Limited Registration Number: 1999/018591/09 (“Redefine”) is subject to these terms and conditions (“Ts and Cs”), as may be amended from time to time. Please read the Ts and Cs carefully and pay special attention to all the terms printed in bold.

  • 1.   PROMOTER
    • 1.1.  This Challenge is promoted by Redefine.
    • 1.2.   Redefine will make a final and binding decision in respect of all matters relating to the results, qualifiers and disputes concerning the Challenge, and no correspondence will be entered into.
    • 1.3.   To the extent required, Redefine reserves the right to amend the T’s and C’s by providing reasonable prior notice.
  • 2.   THE CHALLENGE
    • 2.1.   Redefine is looking for participants to submit innovative ideas relevant to the property industry which will revolutionise across either the retail, and/or commercial and/or industrial space (“Spaces”) in one or more of the following ways:
      • 2.1.1.  enhancing business opportunities; and/or
      • 2.1.2.  uplifting communities and their integration in respect of any of the Spaces; and
      • 2.1.3.  enhancing customer experiences in relation to any of the Spaces; and/or
      • 2.1.4.  the use of technology to improve any of the Spaces.
      (“the Idea” and “the Idea Criteria”).
    • 2.2.   Redefine is accordingly calling on innovators to submit Ideas for a chance to receive an amount of cash, as well as support to realise and implement the Idea as fully described below.
    • 2.3.   The Idea can be new or an existing Idea provided that, where the Idea is an existing Idea it must be improved or modified.
    • 2.4.   The Idea must not be one in which any other person or entity has any rights to, including intellectual property rights.
  • 3.   RULES
    • 3.1.  To enter the Challenge a participant (“Participant”) must:
      • 3.1.1.  be a South African resident who is 18 (eighteen) years old or older and who is in possession of a valid South African identity document; or
      • 3.1.2.  be a juristic person established in South Africa (“Juristic Person”)
      • 3.1.3.   be of sound and sober attributes with no criminal record or impending criminal cases. By submitting an application, the Participant provides consent to Redefine to perform the necessary credit worthiness checks and other reference checks, as the case may be, at the final leg of the Challenge; and
      • 3.1.4.   if an individual, be able to furnish Redefine with certified copies of his/her identity document and any other documents and/or information which Redefine may reasonably request or (ii) if a Juristic Person, be able to furnish Redefine with (a) certified copies of its constituting documents for verification purposes (b) any other documents and/or information which Redefine may reasonably request and (c) a resolution to the satisfaction of Redefine authorising the Juristic Person to enter the Challenge .
    • 3.2.  The Challenge may not be entered by any director, member, partner, employee, agent, consultant of Redefine, the marketing service providers and/or any person who directly or indirectly controls or is controlled by these entities, including their spouses, life partners, business partners or immediate family members.
    • 3.3.   The Challenge runs from 10 October 2018 until 16 December 2018 (“Challenge Period”). Any entries received after the Challenge Period will not be considered.
    • 3.4.   By entering the Challenge, Participants agree to travel to a destination within South Africa, as determined by Redefine, to present his/her/its Idea to the panel of judges, should he/she/it proceed to the final leg of the Challenge(“Presentation”):
      • 3.4.1.  the date and physical address of the Presentation will be communicated by Redefine to the Participant at least two weeks in advance;
      • 3.4.2.   all reasonable, pre-approved transportation costs and accommodation costs (as booked with Redefine’s preferred suppliers) associated with the Presentation, will be at Redefine’s expense.
    • 3.5.   To enter the Challenge a Participant will be required, for the duration of the Challenge Period to, adhere to the following rules (“Rules”):
      • 3.5.1.  visit the Challenge page via the following website: www.innovationchallenge.co.za;
      • 3.5.2.  complete the online entry form (“Entry”);
      • 3.5.3.  record a video (“Video”) clearly depicting his/her/its Idea. The Video must include but is in no way, manner or form limited to:
        • 3.5.3.1.  the basic concept behind the Idea, (i) there are no restrictions pertaining to the content of the Video, and Participants are encouraged to be as creative and detailed as possible to stand out from other Participants, but still ensure that they adhere to the Rules; and by
        • 3.5.3.2.   discussing and/or elaborating on how the Idea originated; and
        • 3.5.3.3.  illustrating how the Idea meets one or more of the Idea Criteria listed in 2.1 above.
    • 3.6.   upload the Video onto the Challenge website. The Participant must ensure that the Video is correctly formatted and must adhere to the following uploading criteria (“Specified Format”):
      • 3.6.1.  the Video’s must be between 30 and 90 seconds in length;
      • 3.6.2.  must be in Mp4 and .mov format; and
      • 3.6.3.  must not contain offensive or obscene content.
    • 3.7.   Upon compliance with 3, a Participant will automatically be deemed to have entered the Challenge.
    • 3.8.  No group entries are permitted.
    • 3.9.   Redefine does not accept any responsibility of whatsoever nature howsoever arising as a result of any technical failure or malfunction or any other problem with submitting entries which may result in any messages or applications not being properly received and/or recorded. This includes without limitation:
      • 3.9.1.  any problems or technical malfunction of any telephone network or lines; and
      • 3.9.2.   computer on-line systems, servers, or providers, computer hardware or software failure or malfunction, traffic congestion (whether physical, or on the internet, telephone lines or at any service provider, web site or other device or medium); and
      • 3.9.3.  any combination thereof of the above, or any other technical or other problems of whatsoever nature.
    • 3.10.   Each Participant will be permitted to submit a maximum number of 10 (ten) entries during the Challenge Period, provided that each entry shall be of a different Idea and not merely a variation of a current and/or existing Idea and/or Entry. Redefine reserves the right to reject any entries received in duplicate.
    • 3.11.   Participants may also upload his/her/its entry, during trading hours at:
      • 3.11.1.  Centre Management situated at the upper level of Entrance 3 at the Matlosana Mall situated at 151 Joe Slovo Road, Klerksdorp ;
      • 3.11.2.   Centre Management situated at Entrance 2, the Boulders Shopping Centre, Old Pretoria Road, Halfway, Midrand;
      • 3.11.3.   Centre Management situated on first floor, Maponya Mall, Chris Hani Rd, Soweto, Johannesburg; and
      • 3.11.4.   Guest Relations Desk situated at Entrance 2, Goldfields Mall situated at the Corner of Stateway and Buiten Road Welkom.
    • 3.12.   Participant’s acknowledge that save for the provisions of Item 3.4.2 above, Redefine will not be liable for any costs incurred by the Participant in entering the Challenge which includes but is no way limited to data costs.
  • 4.  SELECTION PROCESS
    4 (a) For purposes of this Challenge, it is specifically recorded that an independent panel of judges consisting of (i) Redefine stakeholders and (ii) independent external parties (“Panel”) will be responsible for the judging process as set out in 4.1 – 4.3 below.
    • 4.1.  Judging Round 1
      The purpose of this phase is to assess all entries received to eliminate entries that do not meet the basic entry requirements. Phase 1 will be conducted via a web- based judging process overseen by the Panel.
      • 4.1.1.  Filter 1
        • 4.1.1.1.  At expiry of the Challenge Period, each Entry received by Redefine will be subject to a screening process to acquire the valid entries (“Scanners”). The criteria will inter alia include ascertaining whether the Entry complies with the provisions of 3.4 above.
        • 4.1.1.2.  Any Entry that fails to meet the requirements of 3.4 above will be disqualified.
      • 4.1.2.  Filter 2
        • 4.1.2.1.  At this stage Scanners will assess entries as to whether entries meet the Idea Criteria as stipulated in 2.1 above.
      • 4.1.3.  Filter 3
        • 4.1.3.1.  Upon completion of Filter 1 and Filter 2, respectively, Scanners will categorise the entries in accordance with the relevant Space as defined in Item 2.1 above.
    • 4.2.  Judging Round 2
      • 4.2.1.  This web based phase aims to reduce the number of qualifying entries received to the top 150 (one hundred and fifty). Each entry will be tested by the Panel against inter alia the following criteria:
        • 4.2.1.1.  Presentation of the Idea:
          • 4.2.1.1.1.  This aspect comprises of a detailed look into the structure and format of each Participant’s presentation; and
          • 4.2.1.1.2.   The Participant’s ability to present his/her/its Idea to the Panel will be taken into account during the presentation. Factors such as communication skills and/or the Participant’s style in conveying the Idea to the Panel will be considered, and/or any other factor which the Panel may take into consideration.
        • 4.2.1.2.  The merit of the Idea which may inter alia include the following:
          • a.  is the Idea unique;
          • b.  is the Idea new and revolutionary;
          • c.  does the idea re-engineer, re-imagine or re-purpose an existing idea;
          • d.  would the Idea attract people’s attention;
          • e.  does the Idea embrace the aspects of Africanness; and/or
          • f.  is the Idea feasible to implement;
          • g.  any other factor which the Panel may determine in its sole and absolute discretion.
        • 4.2.1.3.   The Idea will be assessed to ascertain the tangibility of the Idea using inter alia the following assessment criteria:
          • a.  Does the idea match brand values of Redefine i.e.: does it align with “our people, our places, our way” principle, which the Participant acknowledges it has familiarised itself with?;
          • b.  What is the importance of the Idea and its effect on the target market?;
          • c.  Does the Idea aim to benefit the community at large?;
          • d.  Does the Idea add substance to the values of society?;
          • e.  Is the Idea based on a capital gaining thinking and/or the value that it will inflict on people’s lives’?; and
          • f.  Will the Idea have far reaching prospects for the communities within which it operates?
          • g.  Any other factor which the Panel may determine in its sole and absolute discretion.
    • 4.3.  Judging Round 3
      • 4.3.1.  During this stage of the Challenge, entries will move from a web-based judging process to a judging process by the Panel. The Panel will select the top 15 finalists (“Finalists”).
      • 4.3.2.  The Finalists will be notified by no later than 11 March 2019.
      • 4.3.3.  Subsequent to Judging Round 3, each Finalist will be awarded 2 (two) weeks calculated from the date listed in 4.3.2 above, to submit supporting documentation (“Supporting Documentation”) in respect of the Idea, as may be requested by Redefine, from time to time. Finalists will have the opportunity to refine his/her/its Idea. The purpose is to enable the Panel to obtain a better understanding of the implementation of each Finalist’s Idea (“Proposal”). The Supporting Documentation may, subject to each Finalists discretion, be submitted in the following form:
        • 4.3.3.1.  word documents;
        • 4.3.3.2.  additional video and photographic content;
        • 4.3.3.3.  excel spread sheets;
        • 4.3.3.4.  budget top sheets in respect of the Proposal; and
        • 4.3.3.5.  technical drawing, blue prints or patent designs in support of the Proposal.
      • 4.3.4.  The Panel will critically assess and score each Proposal against inter alia the following conditions as determined by the Panel in its sole and absolute discretion:
        • 4.3.4.1.  Is it evident that any of the Spaces are required and does it clearly stipulate which specific Space is required.
        • 4.3.4.2.  Does the Proposal support and/or is conducive to third party investment which Redefine could explore;
        • 4.3.4.3.  What is the level of further research required to make the Proposal viable;
        • 4.3.4.4.  Is the Proposal driven by a technological component;
        • 4.3.4.5.  Can the Proposal be easily implemented with regard to prevailing legislation;
        • 4.3.4.6.  Does the Proposal outline a tangible return, potential growth longevity and sustainability; and
        • 4.3.4.7.  Any other criteria which the Panel in its sole and absolute discretion may impose.
    • 4.4.  Final Round of Judging
      • 4.4.1.  This phase of the Challenge will entail a final presentation of the Idea by the Finalists to the Panel. This phase will be filmed and may be broadcast, at Redefine’s sole discretion.
      • 4.4.2.   Participants who reach this leg of the Challenge agree not to disclose, publish or discuss any information relating to this phase of the Challenge, with any third party without Redefine’s prior written consent.
      • 4.4.3.   Finalists will be required, as part of his/her/its presentation, to sign any agreements which Redefine in its sole and absolute discretion may determine prior to a Finalist elaborating on the support required for purposes of realising and implementing his/her/its Idea.
      • 4.4.4.  The Panel will assess the Ideas and the Proposals presented by the Participants and will inter alia take the following into consideration:
        • 4.4.4.1.  the level of detail presented;
        • 4.4.4.2.  the level of thinking evidenced by the Idea;
        • 4.4.4.3.  who stands to benefit from the Ideas; and
        • 4.4.4.4.  any other factors which the Panel may take into consideration.
      • 4.4.5.  The Panel will choose 1 (one) winning Idea in respect of the Challenge (“the Winner”).
  • 5.  CASH INCENTIVE TO BE AWARDED
    • 5.1.  The Winner will be awarded with the following

      5.2.2 start – up package for purposes of implementing the Idea (“Start-Up Package”)not exceeding an amount of R9 000 000.00 (nine million Rand) in value

      (“Cash Incentive”)

    • 5.2.  The Start-Up Package will be determined by the Panel, at its sole discretion, taking into account the motivation presented by the Winner as part of his/her/its Proposal during the Final Round of Judging and what it believes is the support required in order to realise and implement the winning idea.
    • 5.3.  The Start-up Package will comprise of a combination of inter alia the following:
      • 5.3.1.  start-up/operating capital;
      • 5.3.2.  enrolment into an entrepreneurial development program;
      • 5.3.3.  Space in
        • 5.3.3.1.  Redefine: (i) retail; or (ii) office; or (iii) industrial sector, with possible tenant installation funding;
        • 5.3.3.2.  an educational bursary for tertiary, postgraduate courses and or/ certificates;
        • 5.3.3.3.  employment with Redefine or access to Redefine’s learnership program; or
        • 5.3.3.4.  entry into a mentorship program with a listed mentor from the Redefine Mentorship programme, details of which is available on https://mentorshipchallenge.co.za.
    • 5.4.   The Start-up Package which the Winner will receive as well as the value of each component of the package, will be determined by Redefine in its sole and absolute discretion. No minimum amount is guaranteed but the value of the Start-up Package will not exceed R9 000 000.00 (nine million Rand in value).
    • 5.5.   The Cash Incentive is not transferable and will not be changed or deferred for any reason whatsoever.
    • 5.6.   The Winner will be presented with the Cash Incentive at an event to be hosted by Redefine. The date of the event is subject to the discretion of and confirmation by Redefine.
    • 5.7.   The Winner will be required to enter into an agreement with Redefine containing the terms and conditions:
      • 5.7.1.  in terms of which Redefine will acquire rights in the winning Idea;
      • 5.7.2.  In terms of which the winning Idea will be realised and implemented; and
      • 5.7.3.  dealing with the awarding and implementation of the Start-up Package and ancillary matters.
      • 5.7.4.  any other matter(s) which Redefine, in its sole and absolute discretion, may incorporate in respect of the agreement.
    • 5.8.   The Winner must, not for the duration of the agreement as referred to in 5.8 above: (i) affiliate him/her/itself with any competitor of Redefine, and/or brand and/or social and/or political movement; and (i) directly and/or indirectly cause themselves to become involved in any act that would negatively impact or indirectly implicate Redefine as associating themselves with any such brand and/or social and/or political movement.
  • 6.  USE OF DATA AND ITS PROTECTION
    • 6.1.  Participants are fully aware that in order for the Redefine to offer the Challenge, Redefine may collect and use personal information of the Participants. The personal information may include but is in no way limited to a Participant’s:
      • 6.1.1.  first name and surname;
      • 6.1.2.  physical address;
      • 6.1.3.  email address;
      • 6.1.4.  mobile number; and/or
      • 6.1.5.  Images/ photographs; and
      • 6.1.6.  identifying number;
      • 6.1.7.  identifying symbol.
    • 6.2.  Personal information which a Participant provides to Redefine when entering the Challenge, may, subject to prevailing legislation, be used for future marketing activity by Redefine, unless the Participant duly notifies Redefine that he/she/it wishes to opt out of receiving such marketing communications. Redefine warrants that the personal information will be treated in a confidential manner and will not be shared with any unauthorised third parties. Redefine will disclose the personal information only if required to do so by law.
    • 6.3.   A Participant shall have the right of access to his/her/its information. Should a Participant have any questions regarding Redefine’s use of his/her/its personal information or should the Participant want to update his/her/its information because his/her/its details have changed, please contact Redefine by forwarding an email to info@innovationchallenge.co.za.
  • 7.  GENERAL
    • 7.1.  For the duration of the Challenge Period, a copy of these T’s and C’s can be located, at no cost, as follows:
      • 7.1.1.  on the official Challenge website page , or;
      • 7.1.2.  requested via email at info@innovationchallenge.co.za
      • 7.1.3.  be found on the Challenge’s Facebook Page @Innovation Challenge.
    • 7.2.   Redefine reserves the right to terminate the Challenge with immediate effect before the end of the Challenge Period at any time, if deemed necessary in its sole discretion or if circumstances arise outside of its control. No Participant will have any claim against Redefine for such a termination.
    • 7.3.   Participation in the Challenge constitutes automatic acceptance of the T’s and C’s contained herein and the Participant agrees to abide by the T’s and C’s. In the event that a Participant is a Juristic Person, the Juristic Person warrants that the entity is duly authorised to enter the Challenge.
    • 7.4.   All Participants in respect of the Challenge may be requested to be photographed so that his/her photographs may be used for future promotional purposes in relation to Redefine. Promoting platforms will include Redefine social media platforms, local newspapers, Redefine website and other media platforms and publications. No fees will be payable in this regard. The Participants will be given the opportunity to decline the publication of his/her images.
    • 7.5.   Redefine does not make any representations or give any warranties, whether express or implicit, that the Participant’s participation in this Challenge will necessarily result in the Participant winning a cash incentive or that the aforesaid cash incentives will meet the Participant’s unique requirements, preferences, standards or expectations.
    • 7.6.   To the extent permissible in law, Redefine is not responsible and cannot be held liable for any accident, injury, harm, death, loss or damages of whatsoever nature, howsoever arising, as a result of the Participant’s participation in the Challenge, unless Redefine acted fraudulently or with gross negligence.
    • 7.7.   Participants are obliged to comply with all applicable laws, including those laws protecting the intellectual property rights of other parties.
    • 7.8.   These T’s and C’s will be construed, interpreted and enforced in terms of South African law.
